Welcome to AiFormer. By accessing or using our platform, you agree to be bound by these Terms of Service ("Terms"). Please read them carefully.

1. Acceptance of Terms

By creating an account, accessing, or using AiFormer ("Service", "Platform", "we", "us", or "our"), you agree to be bound by these Terms, our Privacy Policy, and any additional terms and conditions that may apply to specific features of the Service. If you do not agree to these Terms, you may not use the Service.

2. Description of Service

AiFormer is a platform for building, running, and distributing AI-native applications that replace traditional prompting with structured intent execution. Our Service allows:

  • Users to discover and run AI-powered applications
  • Experts (app creators) to define application logic and publish apps
  • Organizations to manage teams and collaborate on AI workflows

The Service is provided "as is" and "as available" without warranties of any kind.

3. User Accounts

3.1 Registration

To use certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your password and accept all risks of unauthorized access
  • Notify us immediately of any unauthorized use of your account

3.2 Account Requirements

You must be at least 19 years old (the age of majority in British Columbia) to create an account and use the Service. By using the Service, you represent and warrant that you meet this requirement.

3.3 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in conduct that we determine, in our sole discretion, to be harmful to the Service, other users, or third parties.

4. AI-Generated Content

4.1 No Guarantee of Accuracy

Content generated by AI applications on our platform is provided for informational purposes only. We do not guarantee the accuracy, completeness, reliability, or suitability of AI-generated content for any purpose.

4.2 Not Professional Advice

AI-generated content does NOT constitute:

  • Legal advice
  • Medical advice
  • Financial advice
  • Professional advice of any kind

You should consult with qualified professionals for matters requiring professional expertise. Never rely solely on AI-generated content for important decisions.

4.3 User Responsibility

You are solely responsible for:

  • Evaluating the accuracy and appropriateness of AI-generated content
  • Any actions taken based on AI-generated content
  • Verifying information before using it for any purpose

5. Third-Party AI Services

5.1 External AI Providers

Our Service may utilize third-party AI services including, but not limited to:

  • OpenAI (GPT models)
  • Anthropic (Claude models)
  • Google (Gemini models)
  • Other AI providers

5.2 Third-Party Terms

Your use of the Service is also subject to the terms and policies of these third-party providers. We are not responsible for the performance, availability, or policies of third-party services.

5.3 API Keys

If you provide your own API keys for third-party services:

  • You are responsible for any charges incurred
  • You must comply with the third-party provider's terms of service
  • We encrypt API keys at rest but cannot guarantee complete security

6. Payment Terms

6.1 Subscription Plans

We offer various subscription plans with different features and limits. Plan details and pricing are available on our pricing page. All prices are displayed in Canadian Dollars (CAD) unless otherwise specified.

6.2 Billing

  • Payment is processed through Stripe, our third-party payment processor
  • By subscribing, you authorize us to charge your payment method on a recurring basis
  • Prices are subject to change with reasonable notice
  • Applicable taxes (including GST/PST) will be added to your subscription

6.3 Refunds

  • We do not offer refunds for partial subscription periods
  • Cancellation takes effect at the end of the current billing period
  • Refund requests for exceptional circumstances may be considered on a case-by-case basis
  • Your rights under the British Columbia Business Practices and Consumer Protection Act are not affected by this policy

7. Intellectual Property

7.1 Platform IP

The Service, including its design, features, and content (excluding user content), is owned by AiFormer and protected by Canadian and international intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Service without our written permission.

7.2 User Content

You retain ownership of content you create or upload to the Service. By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and display your content as necessary to provide the Service.

7.3 AI-Generated Output

Ownership of AI-generated output is subject to:

  • The terms of the underlying AI provider
  • Applicable intellectual property laws
  • Any additional terms specified by app creators

8. User-Generated Applications

8.1 App Creator Responsibility

If you create and publish applications on our platform, you are responsible for:

  • The accuracy and appropriateness of your app's functionality
  • Compliance with all applicable Canadian federal and British Columbia provincial laws and regulations
  • The content and outputs your app generates
  • Any harm caused by your app to users or third parties

8.2 Review Process

We may review apps before publication and may reject or remove apps that violate our policies or these Terms.

9. Prohibited Conduct

You agree not to:

  • Use the Service for any illegal purpose under Canadian law
  • Create apps that generate harmful, misleading, or illegal content
  • Attempt to circumvent security measures
  • Interfere with the proper functioning of the Service
  • Scrape, copy, or harvest data from the Service without permission
  • Use the Service to compete with us without our written consent
  • Impersonate others or provide false information
  • Violate the privacy rights of others under PIPA or other applicable privacy laws

10. Limitation of Liability

10.1 Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY THE LAWS OF BRITISH COLUMBIA AND CANADA, AIFORMER AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

10.2 Cap on Liability

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10.3 AI-Specific Disclaimer

We are not liable for any damages arising from:

  • Inaccurate, incomplete, or inappropriate AI-generated content
  • Decisions made based on AI-generated content
  • Third-party AI service outages or errors

10.4 Consumer Rights

Nothing in this section limits or excludes liability that cannot be limited or excluded under British Columbia or Canadian law, including liability for fraud, gross negligence, or willful misconduct.

11. Indemnification

You agree to indemnify, defend, and hold harmless AiFormer and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Applications you create and publish on the platform

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.

12.2 Jurisdiction

You agree to submit to the exclusive jurisdiction of the courts of British Columbia, Canada, for any disputes arising out of or relating to these Terms or your use of the Service.

12.3 Consumer Protection

Nothing in these Terms shall limit or exclude any rights you may have under the British Columbia Business Practices and Consumer Protection Act, the Personal Information Protection Act (PIPA), or other applicable consumer protection legislation.

12.4 Dispute Resolution

Before initiating any legal proceedings, you agree to first contact us at hello@aiformer.ai to attempt to resolve the dispute informally. We will make reasonable efforts to resolve any disputes within 30 days.

13. Privacy and Data Protection

13.1 Privacy Policy

Our collection and use of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

13.2 PIPA Compliance

We comply with the British Columbia Personal Information Protection Act (PIPA) and the federal Personal Information Protection and Electronic Documents Act (PIPEDA) where applicable.

13.3 Data Residency

While we make reasonable efforts to store Canadian user data in Canada, some data may be processed by third-party AI providers located outside of Canada. By using the Service, you consent to this transfer.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by:

  • Posting a notice on the Service
  • Sending an email to your registered address
  • Other reasonable means

Your continued use of the Service after changes constitutes acceptance of the modified Terms. Material changes will take effect no sooner than 30 days after notice is provided.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and AiFormer regarding the Service.

15.2 Severability

If any provision of these Terms is found unenforceable by a court of competent jurisdiction in British Columbia, the remaining provisions will continue in full force and effect.

15.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

15.4 Assignment

You may not assign your rights under these Terms without our written consent. We may assign our rights without restriction.

15.5 Language

The parties have requested that these Terms and all related documents be drafted in English. Les parties ont demandé que cette convention ainsi que tous les documents qui s'y rattachent soient rédigés en anglais.
